Terms of service
Version 1.0 · Effective from 2026-10-26
The agreement and the parties
These terms apply to the use of ShiftFriend, provided by Adtimera ApS, CVR 40551867, Industriparken 10, 4100 Ringsted, michael@adtimera.dk ("we"). The customer is the business that creates a company in ShiftFriend ("the customer").
ShiftFriend is sold only to businesses (B2B). Consumer protection rules, including the right of withdrawal, therefore do not apply. The person accepting these terms warrants that they are authorised to bind the customer.
Free trial
New companies get a 30-day free trial with all Pro features. No payment card is required, and the trial does not automatically turn into a paid plan.
Subscription and prices
The plans and current prices are shown on the pricing page and in the app under Settings → Subscription. All prices are in Danish kroner excl. VAT.
The price depends on the plan and the number of active employees. For yearly payment the terms on the pricing page apply. Add-ons such as SMS are charged by usage if enabled.
Invoicing and payment
We invoice in advance for the period. Payment terms are 30 days net. In case of late payment we send reminders and may charge reminder fees and interest under the Danish Interest Act.
If an invoice is unpaid 14 days after the due date, we may pause the subscription. The owner's access then becomes read-only, while employees can still see shifts and clock in. Access reopens when payment is received.
Term and termination
There is no lock-in. The customer can cancel the subscription to the end of the paid period. Paid periods are not refunded.
We can terminate the agreement with 30 days' notice and immediately in case of material breach, e.g. non-payment or unlawful use.
Price changes
We can change prices with 30 days' notice by email or in the app. The change applies from the next billing period after the notice. The customer can cancel before it takes effect.
Customer responsibilities
- The customer is responsible for the data entered into ShiftFriend being correct and for lawful use, including having a valid legal basis for processing employees' data.
- The customer must check payroll exports, hour reports and export files before using them for payroll.
- Calculations and aids for holiday, flex, pay and supplements, rules for under-18s, rest periods and collective agreements are aids. They are not legal or payroll advice, and the customer remains responsible for complying with law and agreements.
- The customer keeps login details safe and is responsible for the users it gives access to.
Operation and availability
We aim for ShiftFriend to be available and stable, but the service is provided "as is" without uptime guarantees (no SLA). We may perform maintenance and change features as long as the core of the service is preserved.
Data, export and deletion
The customer owns its data. We process personal data about the customer's employees as a processor under the data processing agreement, which forms part of these terms.
The customer can download all company data as a ZIP with JSON and CSV at any time. When the customer deletes the company, data is deleted after a 30-day grace period. Invoices are kept for 5 years under the Bookkeeping Act.
Liability and limitation
Our total liability is limited to the amount the customer paid for ShiftFriend in the 12 months before the damage. We are not liable for indirect loss, including loss of business, lost profit, loss of data or payroll errors caused by lack of checking.
The limitations do not apply in case of intent or gross negligence.
Force majeure
Neither party is liable for circumstances beyond its control, e.g. outages at sub-suppliers or internet providers, strikes, war, natural disasters or orders from authorities.
Intellectual property
All rights to ShiftFriend, including software, design and trademarks, belong to Adtimera ApS. The customer receives a non-exclusive right of use during the subscription. The customer retains all rights to its own data and logo.
Changes to the terms
We can change the terms with 30 days' notice. Material changes must be accepted by the owner in the app. If the customer does not accept, it can cancel before the change takes effect.
Governing law and venue
The agreement is governed by Danish law. Disputes are settled by the District Court of Roskilde (Retten i Roskilde) as the first instance.
